North has a marginal 2C call, but has an invite hand when pard bids 2S. Despite the max and 5 card suit, South feels his hand is "god awful" and elects to pass. Game is not a good chance, with potentially 2 spade losers, 2 heart losers, 1 diamond loser.
Game is 50% or so. I think in reality it is close to impossible to downgrade 14 with a five card suit to not accept an invite.
